Kekayaan Intelektual (KI) adalah hasil olah pikir manusia untuk dapat menghasilkan suatu temuan, karya, produk, jasa, atau proses yang berguna untuk masyarakat yang dapat dilindungi oleh hukum. Jadi dapat disimpulkan bahwa Kekayaan Intelektual adalah hak untuk menikmati secara ekonomis hasil dari suatu kreativitas intelektual. Objek yang diatur dalam kekayaan intelektual berupa karya yang dihasilkan oleh kemampuan intelektual manusia.
Fungsi dan
tujuan utama dari adanya
perlindungan Kekayaan Intelektual, antara lain :
- Sebagai perlindungan
hukum terhadap pencipta yang dipunyai perorangan ataupun kelompok atas jerih
payahnya dalam pembuatan hasil cipta karya dengan nilai ekonomis yang
terkandung di dalamnya.
- Mengantisipasi dan juga
mencegah terjadinya pelanggaran atas Kekayaan Intelektual milik
orang lain.
- Meningkatkan kompetisi,
khususnya dalam hal komersialisasi kekayaan intelektual. Karena dengan diakuinya Kekayaan
Intelektual, akan mendorong para pencipta untuk
terus berkarya dan berinovasi, dan bisa mendapatkan keuntungan secara ekonomis.
- Dapat dijadikan bahan
pertimbangan untuk menentukan strategi penelitian, dan industri
yang ada di Indonesia
Pada dasarnya, Kekayaan Intelektual memiliki nilai ekonomis, sehingga Kekayaan Intelektual dapat
dijadikan sebagai agunan atau jaminan.
Adapun ketentuan yang mengatur mengenai
Kekayaan Intelektual sebagai agunan atau jaminan ini diatur berdasarkan
bentuknya, antara lain:
Hak Cipta adalah hak eksklusif pencipta yang timbul secara otomatis
berdasarkan prinsip deklaratif setelah suatu ciptaan diwujudkan dalam bentuk
nyata tanpa mengurangi pembatasan sesuai dengan ketentuan peraturan perundang-undangan.
Dimana hak
cipta dapat dijadikan sebagai objek jaminan gadai maupun fidusia, berdasarkan jenis karya
cipta yang dimiliki (material/tangible dan immaterial/intangible)
Berdasarkan perspektif hukum jaminan, karya cipta yang
berbentuk nyata (material) dan bersifat benda (tangible) dapat
diikat dengan jaminan Gadai dan/atau Fidusia. Di sisi lain, karya cipta yang
berbentuk tak-nyata (immaterial) dan bersifat tak-benda (intangible)
hanya bisa diikat dengan jaminan Fidusia. Contoh, jika kita memiliki karya
cipta material/ tangible berupa lukisan maka kita dapat menjaminkan lukisan
tersebut melalui skema Gadai atau Fidusia. Sedangkan karya cipta yang bersifat immaterial/
intangible (contoh: film, musik, buku) hanya bisa dijaminkan melalui skema
Fidusia. UU Hak Cipta terbaru (UU No. 28 Tahun 2014) hanya mengatur penjaminan
Hak Cipta melalui skema Fidusia, sehingga diperlukan revisi UU tersebut agar
penjaminan Hak Cipta juga bisa dilakukan melalui skema Gadai.
Mengacu Pada Pasal 16 ayat (3) Undang-Undang Nomor 28 Tahun 2014 tentang
Hak Cipta dijelaskan bahwa :
“ Pasal 16
- Hak cipta
dapat dijadikan sebagai objek jaminan fidusia.
- Ketentuan
mengenai Hak Cipta sebagai objek jaminan fidusia sebagaimana dimaksud pada ayat
(3) dilaksanakan sesuai dengan ketentuan peraturan perundang-undangan. “
Pada dasarnya Hak Cipta dapat dijadikan sebagai Objek Jaminan Fidusia
melalui pendaftaran jaminan fidusia dan pembuatan akta fidusia terhadap hak
cipta yang dijadikan sebagai objek jaminan, dimana hal mengenai tata cara
pendaftaran dan pembuatan akta tersebut diatur dalam Peraturan Pemerintah Nomor
21 Tahun 2015 tentang Tata Cara Pendaftaran Jaminan Fidusia dan Biaya Pembuatan
Akta Jaminan Fidusia.
Proses permohonan hak cipta yang didaftarkan sebagai objek jaminan
fidusia ini diajukan oleh penerima fidusia, sebelumnya melalui proses penilaian
hak cipta tersebut yang ingin dijadikan sebagai objek jaminan fidusia, setelah
itu permohonan pendaftaran jaminan fidusia yang telah memenuhi ketentuan akan memperoleh
bukti pendaftaran, setelah memperoleh bukti pendaftaran maka penerima fidusia
harus melakukan pembayaran biaya pendaftaran jaminan fidusia dan setelah
melakukan pembayaran baru Pendaftaran Jaminan Fidusia dicatatakan.
Jaminan Fidusia tersebut lahir bersamaan dengan tanggal Jaminan Fidusia dicatatkan, dan akan mendapatkan Sertifikat Jaminan Fidusia yang ditandatangani oleh Pejabat pada Kantor Pendaftaran Fidusia.
Hak atas Merek adalah hak eksklusif yang diberikan oleh negara kepada
pemilik Merek yang terdaftar untuk jangka waktu tertentu dengan menggunakan
sendiri Merek tersebut atau memberikan izin kepada pihak lain untuk
menggunakannya.
Berdasarkan Pasal 41 ayat (1)
Undang-Undang Nomor 20 Tahun 2016 tentang Merek dan Indikasi Geografis,
dinyatakan bahwa:
“ Pasal 41
- Hak atas Merek
terdaftar dapat beralih atau dialihkan karena:
- pewarisan;
- wasiat;
- wakaf;
- hibah;
- perjanjian;
- sebab lain yang dibenarkan oleh peraturan perundang-undangan. “
Secara normatif, dapat dikatakan bahwa hak
atas merek tersebut, baik merek dagang maupun merek jasa dapat dijadikan sebagai objek
jaminan fidusia melalui perjanjian seperti yang dijelaskan pada Pasal 41 huruf
e Undang-Undang Nomor 20 Tahun 2016, sehingga apabila dalam klausula perjanjian
mengatur tentang pengalihan ataupun menjadikan hak atas merek sebagai jaminan
fidusia (melalui permohonan), maka hal tersebut dapat dilakukan.
Paten adalah hak eksklusif yang diberikan oleh negara kepada inventor
atas hasil invensinya di bidang teknologi untuk jangka waktu tertentu
melaksanakan sendiri invensi tersebut atau memberikan persetujuan kepada orang
lain untuk melaksanakannya.
Paten dapat dijadikan sebagai jaminan fidusia diatur dalam Pasal 108
Undang-Undang Nomor 13 Tahun 2016 tentang Paten, dimana dijelaskan bahwa:
“ Pasal 108
- Hak atas Paten
dapat dijadikan sebagai objek jaminan fidusia.
- Ketentuan
mengenai syarat dan tata cara hak atas Paten sebagai objek jaminan fidusia
diatur dengan Peraturan Pemerintah”
Dalam hal pendaftaran hak atas paten
sebagai objek jaminan fidusia mengacu pada Peraturan Pemerintah Nomor 21 Tahun
2015 tentang Tata Cara Pendaftaran Jaminan Fidusia dan Biaya Pembuatan Akta
Jaminan Fidusia
- Desain Tata Letak Sirkuit Terpadu (DTLST)
Hak Desain Tata Letak Sirkuit Terpadu
adalah hak ekslusif yang diberikan oleh negara republik Indonesia kepada pendesain atas
hasil kreasinya, untuk selama waktu tertentu melaksanakan sendiri, atau
memberikan persetujuannya kepada pihak lain untuk melaksanakan hak tersebut.
Berdasarkan
Pasal 23 ayat (1) Undang-Undang Nomor 32 Tahun 2000 tentang Desain Tata Letak
Sirkuit Terpadu dijelaskan bahwa:
“ Pasal 23
- Hak Desain
Tata Letak Sirkuit Terpadu dapat beralih atau dialihkan dengan:
- pewarisan;
- hibah;
- wasiat;
- perjanjian tertulis; atau
- sebab-sebab lain yang dibenarkan oleh peraturan perundang-undangan.”
Apabila pada perjanjian tertulis terdapat klausula terkait
penjaminan produk DTLST sebagai objek jaminan fidusia,
dan disepakati oleh kedua belah pihak, maka Hak Desain Tata Letak Sirkuit
Terpadu dapat dijadikan sebagai Objek Jaminan Fidusia merujuk pada Pasal 23
ayat (1) Undang-Undang Nomor 32 Tahun 2000 tentang Desain Tata Letak Sirkuit
Terpadu, yang setelah itu melakukan permohonan pendaftaran Hak Desain Tata
Letak Sirkuit Terpadu menjadi Objek Jaminan Fidusia merujuk pada Peraturan
Pemerintah Nomor 21 Tahun 2015 tentang Tata Cara Pendaftaran Jaminan Fidusia
dan Biaya Pembuatan Akta Jaminan Fidusia.
Sehingga, dapat disimpulkan bahwa Kekayaan
Intelektual dapat dijadikan
sebagai 2 (dua bentuk) objek jaminan, yakni jaminan gadai dan fidusia. Terkait
dengan karya cipta yang
berbentuk nyata (material) dan bersifat benda (tangible) dapat
diikat dengan jaminan Gadai dan/atau Fidusia. Di sisi lain, karya cipta yang
berbentuk tak-nyata (immaterial) dan bersifat tak-benda (intangible)
hanya bisa diikat dengan jaminan Fidusia. Sehingga, melalui skema gadai dapat
disimpulkan harus disertakan dengan hasil ciptaan dan sertifikat hak cipta
(sebagai agunan pokok), dimana dalam skema gadai tersebut tidak wajib
menggunakan akta notaris sebab objek jaminannya berada pada tangan kreditor.
Berbeda halnya
dengan, jaminan fidusia yang memerlukan akta notaris dan harus didaftarkan ke
Kantor Pendaftaran Fidusia pada Kementerian Hukum dan Ham. Pengaturan fidusia
lebih ketat dibandingkan dengan gadai, sebab objek jaminan fidusia berada di
tangan debitor dengan status hak pakai.
Dalam hal objek jaminan berupa kekayaan
intelektual dalam skema gadai,
maka apabila pihak-pihak tersebut akan mengikuti pihak-pihak dalam skema gadai,
yakni pemberi gadai dan penerima gadai, pengaturan gadai diatur dalam Pasal
1150 sampai dengan Pasal 1160 Kitab Undang-Undang Hukum Perdata, dimana secara
garis besar hak dan kewajiban yang dimiliki oleh Pemberi dan Penerima gadai
adalah sebagai berikut:
Intellectual Property (IP) is the result of
human thought to be able to produce findings, works, products, services, or
processes that are useful for society that can be protected by law. So it can be concluded that Intellectual
Property is the right to enjoy economically the result of an intellectual
creativity. Objects that are regulated
in intellectual property are works produced by human intellectual abilities.
The main functions and objectives of the
protection of Intellectual Property, among others:
- As legal protection for creators who are owned by individuals or groups for their efforts in making copyrighted works with economic value contained therein.
- Anticipating and also preventing infringement of other people’s Intellectual Property.
- Increase competition, especially in terms of the commercialization of intellectual property. Because the recognition of Intellectual Property will encourage creators to continue to work and innovate, and can benefit economically.
- Can be used as material for consideration to determine research and industry strategies in Indonesia
Basically, Intellectual Property has economic value, so Intellectual Property can be used as collateral or guarantee.
The provisions governing Intellectual Property
as collateral or guarantee are regulated based on their form, among others:
Copyright is the exclusive right of the
creator that arises automatically based on declarative principles after a work
is realized in a tangible form without reducing restrictions in accordance with
the provisions of laws and regulations.
Where copyright can be used as an object of
pledge or fiduciary collateral, based on the type of copyrighted work owned
(material/tangible and immaterial/intangible)
Based on the perspective of guarantee law,
copyrighted works that are tangible (material) and tangible (tangible) can be
bound by Pledge and/or Fiduciary guarantees.
On the other hand, copyrighted works that are immaterial and intangible
can only be bound by a fiduciary guarantee.
For example, if we have a tangible/material copyrighted work in the form
of a painting, then we can guarantee the painting through a Pawn or Fiduciary
scheme. Meanwhile, copyrighted works
that are immaterial/intangible (eg films, music, books) can only be guaranteed
through a fiduciary scheme. The latest
Copyright Law (Law No. 28 of 2014) only regulates Copyright guarantees through
the Fiduciary scheme, so it is necessary to revise the Law so that Copyright
guarantees can also be carried out through the Pawn scheme.
Referring to Article 16 paragraph (3) of Law
Number 28 of 2014 concerning Copyright it is explained that:
“Article 16”
(3) Copyright can be used as an object of
fiduciary guarantee.
(4) Provisions regarding Copyrights as objects
of fiduciary guarantees as referred to in paragraph (3) are implemented in
accordance with the provisions of laws and regulations. “
Basically, Copyrights can be used as objects of fiduciary guarantees through registration of fiduciary guarantees and the making of fiduciary deeds of copyrights which are used as objects of guarantees, where matters regarding the procedures for registration and making the deed are regulated in Government Regulation Number 21 of 2015 concerning Procedures for Registration of Guarantees. Fiduciary and Fee for Making Fiduciary Guarantee Deed.
The process of applying for a copyright that
is registered as an object of fiduciary security is submitted by a fiduciary recipient,
before going through the process of assessing the copyright that wants to be
used as an object of fiduciary security, after that an application for
registration of a fiduciary guarantee that has met the conditions will obtain
proof of registration, after obtaining proof of registration then the fiduciary recipient must pay the
registration fee for the fiduciary guarantee and after making a new payment the
registration of the fiduciary guarantee is recorded.
The Fiduciary Guarantee is born at the same
time as the date the Fiduciary Guarantee is registered, and will get a
Fiduciary Guarantee Certificate signed by the Official at the Fiduciary
Registration Office.
Right to a Mark is an exclusive right granted
by the state to the owner of a registered Mark for a certain period of time by
using the Mark himself or giving permission to other parties to use it.
Based on Article 41 paragraph (1) of Law
Number 20 of 2016 concerning Marks and Geographical Indications, it is stated
that:
“Article 41”
(1) Rights to registered Marks may be
transferred or transferred because:
a.
inheritance;
b.
will;
c.
waqf;
d.
grant;
e.
agreement;
f.
other reasons justified by legislation.
“
Normatively, it can be said that the rights to the mark, both trademarks and service marks can be used as objects of fiduciary guarantees through agreements as described in Article 41 letter e of Law Number 20 of 2016, so that if the clause of the agreement regulates the transfer or make the right to the mark as a fiduciary guarantee (through an application), then this can be done.
A patent is an exclusive right granted by the
state to an inventor for his invention in the field of technology for a certain
period of time to carry out the invention himself or to give approval to other
people to implement it.
Patents can be used as fiduciary guarantees as
regulated in Article 108 of Law Number 13 of 2016 concerning Patents, where it
is explained that:
“Article 108
(1) Patent rights may be used as objects of
fiduciary security.
(2) Provisions regarding the terms and
procedures for the right to a Patent as an object of fiduciary security shall
be regulated by a Government Regulation.”
In the case of registration of patent rights
as objects of fiduciary security, it refers to Government Regulation Number 21
of 2015 concerning Procedures for Registration of Fiduciary Guarantees and Fees
for Making Fiduciary Guarantee Deeds.
- Integrated Circuit Layout Design (DTLST)
The right to Layout Design for Integrated
Circuit is an exclusive right granted by the Republic of Indonesia to the
designer for his creation, to carry it out himself for a certain period of
time, or to give his approval to another party to exercise the right.
Based on Article
23 paragraph (1) of Law Number 32 of 2000 concerning Layout Design of
Integrated Circuits, it is explained that:
“Article 23
(1) Right to Layout Design of Integrated
Circuit can be transferred or transferred by:
a.
inheritance;
b.
grant;
c.
will;
d.
written agreement; or
e.
other reasons justified by legislation.
If in the written agreement there is a clause related to guaranteeing DTLST products as objects of fiduciary guarantees, and it is agreed by both parties, then the Right to Layout Design of Integrated Circuits can be used as Objects of Fiduciary Guarantees referring to Article 23 paragraph (1) of Law Number 32 of 2000 concerning Layout Design of Integrated Circuit, after which the application for registration of Right to Layout Design of Integrated Circuit as Object of Fiduciary Security refers to Government Regulation Number 21 of 2015 concerning Procedures for Registration of Fiduciary Guarantee and Fee for Making Fiduciary Guarantee Deed.
Thus, it can be concluded that Intellectual Property can be used as 2 (two) forms of collateral objects, namely pledges and fiduciary guarantees. In relation to copyrighted works that are tangible (material) and tangible (tangible), they can be bound by Pawn and/or Fiduciary guarantees. On the other hand, copyrighted works that are immaterial and intangible can only be bound by a fiduciary guarantee. So, through the pawn scheme, it can be concluded that it must be accompanied by the creation and copyright certificate (as the main collateral), where in the pawn scheme it is not required to use a notary deed because the object of the guarantee is in the hands of the creditor.
Unlike the case with fiduciary guarantees, which require a notarial deed and must be registered with the Fiduciary Registration Office at the Ministry of Law and Human Rights. Fiduciary arrangements are stricter than pawning, because the object of the fiduciary guarantee is in the hands of the debtor with usufructuary status.
In the case of the object of collateral in the form of intellectual property in the pawn scheme, then if the parties will follow the parties in the pawn scheme, namely the pawner and the pawn recipient, the pawn arrangement is regulated in Article 1150 to Article 1160 of the Civil Code, In general, the rights and obligations of the Giver and Receiver of pawn are as follows:
