Di masa sekarang, perkembangan dunia perekonomian
semakin berkembang pesat dan kompleks. Perkembangan bisnis semakin dimudahkan
dengan bentuk kerjasama bisnis dan kecanggihan teknologi di dalam
pelaksanaannya. Perkembangan terhadap bentuk kerjasama bisnis melahirkan suatu
konsep bisnis baru yang semakin memberikan kemudahan dalam melakukan transaksi
bisnis, salah satunya adalah bisnis waralaba atau franchise.[1]
Perjanjian bisnis franchise termasuk dalam
perjanjian yang tidak bernama (innominaat), yakni perjanjian yang
timbul, tumbuh, hidup, dan berkembang dalam praktik kehidupan masyarakat.
Perjanjian tidak bernama (innominaat) merupakan perjanjian-perjanjian
yang belum ada pengaturannya secara khusus. Lahirnya perjanjian tersebut di dalam
prakteknya berdasarkan pada asas kebebasan berkontrak atau kebebasan dalam
mengadakan suatu perjanjian. Perkembangan bentuk kerjasama bisnis ini membuka
jalan bagi terciptanya fasilitas-fasilitas dan bentuk-bentuk bisnis baru,
diantaranya bisnis waralaba, atau dalam bahasa asing disebut juga dengan franchise
sistem waralaba atau franchise tidak membutuhkan investasi langsung,
tetapi melibatkan kerjasama dengan pihak lain.[2]
Rumusan yang lain mengatakan perjanjian franchising
adalah suatu perjanjian dimana franchisee menjual produk atau jasa
sesuai dengan cara dan prosedur yang telah ditetapkan oleh franchisor
yang membantu melalui iklan, promosi, dan jasa-jasa nasihat lainnya.[3]
Pengertian waralaba sendiri sebenarnya sudah diatur dalam Pasal 1 angka 1 Peraturan Pemerintah Nomor 42 Tahun 2007 tentang Waralaba, yang berbunyi:
“Pasal 1
- Waralaba adalah hak khusus yang dimiliki oleh orang perseorangan atau badan usaha terhadap sistem bisnis dengan ciri khas usaha dalam rangka memasarkan barang dan/atau jasa yang telah terbukti berhasil dan dapat dimanfaatkan dan/atau digunakan oleh pihak lain berdasarkan perjanjian waralaba”.
“Pasal 1
- Pemberi Waralaba adalah orang perseorangan atau
badan usaha yang memberikan hak untuk memanfaatkan dan/atau menggunakan
Waralaba yang dimilikinya kepada Penerima Waralaba.
- Penerima Waralaba adalah orang perseorangan atau
badan usaha yang diberikan hak oleh Pemberi Waralaba untuk memanfaatkan
dan/atau menggunakan Waralaba yang dimiliki Pemberi Waralaba.
- Pemberi Waralaba Lanjutan adalah Penerima Waralaba
yang diberi hak oleh Pemberi Waralaba untuk menunjuk Penerima Waralaba
Lanjutan.
- Penerima Waralaba Lanjutan adalah orang
perseorangan atau badan usaha yang menerima hak dari Pemberi Waralaba Lanjutan
untuk memanfaatkan dan/atau menggunakan Waralaba”.
Mewaralabakan adalah suatu metode perluasan pemasaran
dan bisnis. Suatu bisnis memperluas pasar dan distribusi produk serta
pelayanannya dengan membagi standar pemasaran dan operasional. Pemegang franchise
(waralaba) yang membeli suatu suatu bisnis yang menarik manfaat dari
kesadaran pelanggan akan nama dagang, sistem teruji dan pelayanan lain yang
disediakan oleh pemilik franchise.[1]
Franchise jika dilihat dari aspek unsurnya, maka dapat
ditemukan adanya 4 unsur, yaitu sebagai berikut:
- Pemberian hak untuk berusaha dalam bisnis tertentu;
- Lisensi untuk menggunakan tanda pengenal usaha,
biasanya merek dagang atau jasa, yang akan menjadi ciri pengenal dari bisnis franchise
(waralaba);
- Lisensi untuk menggunakan rencana pemasaran dan
bantuan yang luas oleh franchisor kepada franchisee; dan
- Pembayaran oleh franchisee kepada franchisor
berupa sesuatu yang bernilai bagi franchisor selain dari harga borongan bonafide
atas barang yang terjual.[2]
Dasar hukum yang mengatur kriteria waralaba sendiri
terdapat dalam Pasal 3 Peraturan Pemerintah Nomor 42 Tahun 2007 tentang
Waralaba yang berbunyi:
“Pasal 3
Waralaba harus memenuhi kriteria sebagai berikut:
- Memiliki ciri khas usaha;Terbukti sudah memberikan keuntungan;Memiliki standar atas pelayanan dan barang dan/atau
jasa yang ditawarkan yang dibuat secara tertulis;Mudah diajarkan dan diaplikasikan;Adanya dukungan yang berkesinambungan; danHak kekayaan intelektual yang terdaftar”.
Lahirnya suatu perjanjian pada dasarnya dapat kita
lihat pada Pasal 1320 Kitab Undang-Undang Hukum Perdata, yang dalam hal ini
memuat suatu Asas Konsensualitas yaitu suatu asas yang menyebutkan bahwa
perjanjian itu ada sejak dibuatnya kata sepakat antara para pihak. Perjanjian
yang dibuat tersebut mengikat dan berlaku seperti undang-undang para pihak yang
membuatnya yang dalam hal ini antara pihak franchisor dengan pihak franchisee.
Dengan kata lain, perjanjian franchise (waralaba) sudah sah sejak ada
kata sepakat dari para pihak mengenai hal-hal pokok, walaupun belum atau tidak
diikuti dengan suatu perbuatan formal.[3]
Adapun ketentuan mengenai perjanjian waralaba
sendiri diatur dalam Pasal 4 ayat (1) dan ayat (2) Peraturan Pemerintah Nomor
42 Tahun 2007 tentang Waralaba yang berbunyi:
“Pasal 4
- Waralaba diselenggarakan berdasarkan perjanjian
tertulis antara Pemberi Waralaba dengan Penerima Waralaba dengan memperhatikan
hukum Indonesia.
- Dalam hal perjanjian sebagaimana dimaksud pada ayat
(1) ditulis dalam bahasa asing, perjanjian tersebut harus diterjemahkan ke
dalam bahasa Indonesia”.
Biasanya di dalam perjanjian waralaba, diadakan
suatu tindakan pendahuluan berupa perundingan antara para pihak. Perjanjian
ini, lazimnya pihak franchisee memohon kepada pihak franchisor
untuk dapat membuka perusahaan franchise dibawah merek dari franchisor
di daerah tertentu. Setelah permohonan tersebut ditanggapi lalu diadakan survei
ke lokasi dimana perusahaan tersebut akan beroperasi untuk mengetahui syarat
bagi dibukanya perusahaan, terutama dari segi pemasaran atau standart bangunan.
Selain melalui tahap perundingan dan survei ke lokasi terdapat juga tahap untuk
mempelajari isi format perjanjian yang diperuntukan bagi franchisee.[4]
Berdasarkan lampiran II Peraturan Menteri
Perdagangan Nomor 71 Tahun 2019 tentang Penyelenggaraan Waralaba, materi atau
klausula perjanjian waralaba sekurang-kurangnya memuat:
- Nama dan alamat para pihak, yaitu nama dan alamat
jelas pemilik/penanggung jawab perusahaan yang mengadakan perjanjian waralaba,
yaitu pemberi waralaba atau pemberi waralaba lanjutan dan penerima waralaba
atau penerima waralaba lanjutan.
- Jenis hak kekayaan intelektual, yaitu jenis hak
kekayaan intelektual pemberi waralaba, seperti merek dan logo perusahaan,
desain gerai/tempat usaha, sistem manajemen atau pemasaran atau racikan bumbu
masakan yang diwaralabakan.
- Kegiatan usaha, yaitu kegiatan usaha yang diperjanjikan
seperti perdagangan eceran/ritel, pendidikan, restoran, apotek, atau bengkel.
- Hak dan kewajiban pemberi waralaba atau pemberi
waralaba lanjutan dan penerima waralaba atau penerima waralaba lanjutan, yaitu
hak dan kewajiban meliputi:
- Pemberi waralaba atau pemberi waralaba lanjutan:
- Hak untuk menerima fee atau royalty
dari penerima waralaba atau penerima waralaba lanjutan; dan
- Kewajiban untuk memberikan pembinaan secara
berkesinambungan kepada penerima waralaba dan penerima waralaba lanjutan
- Penerima waralaba atau penerima waralaba lanjutan:
- Hak untuk menggunakan hak kekayaan intelektual atau
ciri khas usaha yang dimiliki pemberi waralaba; dan
- Kewajiban untuk menjaga kode etik/kerahasiaan hak
kekayaan intelektual atau ciri khas usaha yang diberikan pemberi waralaba.
- Bantuan, fasilitas, bimbingan operasional,
pelatihan, dan pemasaran yang diberikan oleh pemberi waralaba atau pemberi
waralaba lanjutan kepada penerima waralaba atau penerima waralaba lanjutan,
seperti bantuan fasilitas berupa penyediaan dan pemeliharaan komputer dan
program IT pengelolaan kegiatan usaha.
- Wilayah usaha, yaitu batasan wilayah yang diberikan
oleh pemberi waralaba atau pemberi waralaba lanjutan kepada penerima waralaba
atau penerima waralaba lanjutan untuk mengembangkan bisnis waralaba seperti
wilayah Sumatera, Jawa, dan Bali atau di seluruh wilayah Indonesia.
- Jangka waktu perjanjian waralaba, yaitu batasan
mulai dan berakhir perjanjian waralaba terhitung sejak surat perjanjian
ditandatangani oleh pemberi waralaba dengan penerima waralaba atau pemberi
waralaba lanjutan dengan penerima waralaba lanjutan.
- Tata cara pembayaran imbalan, yaitu tata cara atau
ketentuan, termasuk waktu dan cara perhitungan besarnya imbalan, seperti fee
atau royalty apabila disepakati dalam perjanjian waralaba yang
menjadi tanggung jawab penerima waralaba atau penerima waralaba lanjutan.
- Kepemilikan, perubahan kepemilikan, dan hak ahli
waris, yaitu kepemilikan atas waralaba dan peralihan waralaba apabila terjadi
perubahan kepemilikan karena pengalihan kepemilikan atas waralaba atau
meninggalnya pemilik waralaba.
- Penyelesaian sengketa, yaitu penetapan forum
penyelesaian sengketa, dengan menggunakan pilihan hukum Indonesia.
- Tata cara perpanjangan dan pengakhiran perjanjian
waralaba, seperti pengakhiran perjanjian waralaba tidak dapat dilakukan secara
sepihak atau perjanjian waralaba berakhir dengan sendirinya apabila jangka
waktu yang ditetapkan dalam perjanjian waralaba berakhir. Perjanjian waralaba
dapat diperpanjang kembali apabila dikehendaki oleh kedua belah pihak dengan
ketentuan yang ditetapkan Bersama.
- Jaminan dari pemberi waralaba atau pemberi waralaba
lanjutan untuk tetap menjalankan kewajibannya kepada penerima waralaba atau
penerima waralaba lanjutan sesuai dengan isi perjanjian waralaba hingga jangka
waktu perjanjian waralaba berakhir.
- Jumlah gerai/tempat usaha yang akan dikelola oleh
penerima waralaba atau penerima waralaba lanjutan dalam jangka waktu perjanjian
waralaba.
Pihak penerima waralaba dan pemberi waralaba
setelah menyetujui isi dari perjanjian tersebut, maka mulai dari saat itulah
hak dan kewajiban masing-masing pihak harus dipenuhi. Dalam hal ini kewajiban
dari pemberi waralaba perhotelan diantaranya adalah program pelatihan, jasa engineering,
jasa food & beverage dan membantu pemasaran produk guna memperoleh
keuntungan. Sedangkan kewajiban dari penerima waralaba perhotelan adalah
melakukan kualifikasi produk, standart pelayanan, standart management yang sama
dengan hotel milik pemberi waralaba perhotelan dan pembayaran fee yang meliputi
jasa penjualan, pemasaran, distribusi hotel serta yang lainnya seperti yang
telah disepakati bersama. Hak dari para pihak diantaranya, untuk pihak pemberi
waralaba perhotelan mendapatkan pembayaran fee yang meliputi jasa
penjualan, pemasaran dan distribusi hotel seperti yang telah disepakati bersama
serta melakukan pengawasan terhadap pelaksanaan waralaba. Sementara itu hak
dari penerima waralaba perhotelan ialah memperoleh segala informasi mengenai
hal-hal yang berkaitan bisnis waralaba yang mereka lakukan, serta berhak
menggunakan nama, cap dagang, dan logo milik franchisor atau pemberi
waralaba perhotelan yang sudah terkenal dalam dunia bisnis.[5]
Sementara itu dasar hukum yang mengatur mengenai
kewajiban pemberi waralaba sendiri diatur dalam Pasal 7 ayat (1) ayat (2) dan
Pasal 8 Peraturan Pemerintah Nomor 42 Tahun 2007 tentang Waralaba yang
berbunyi:
“Pasal 7
- Pemberi Waralaba harus memberikan prospektus
penawaran Waralaba kepada calon Penerima Waralaba pada saat melakukan
penawaran.
- Prospektus penawaran Waralaba sebagaimana dimaksud
pada ayat (1) memuat paling sedikit mengenai :Data identitas pemberi waralaba;Legalitas usaha pemberi waralaba;Sejarah kegiatan usahanya;Struktur organisasi pemberi waralaba;Laporan keuangan 2 (dua) tahun terakhir;Jumlah tempat usaha;Daftar penerima waralaba; danHak dan kewajiban pemberi waralaba dan penerima
waralaba”.
“Pasal 8
Pemberi Waralaba wajib memberikan pembinaan dalam
bentuk pelatihan, bimbingan operasional manajemen, pemasaran, penelitian, dan pengembangan
kepada Penerima Waralaba secara berkesinambungan”.
Selanjutnya pemberi waralaba juga wajib untuk
mendaftarkan prospektus tersebut sebagaimana diatur dalam pasal 10 ayat (1)
Peraturan Pemerintah Nomor 42 Tahun 2007 tentang Waralaba yang berbunyi:
“Pasal 10
- Pemberi Waralaba wajib mendaftarkan prospektus
penawaran Waralaba sebelum membuat perjanjian Waralaba dengan Penerima Waralaba”.
Setelah perjanjian waralaba dibuat dan disepakati
oleh kedua belah pihak, penerima waralaba harus mendaftarkan perjanjian
waralaba yang sudah disepakati tersebut sebagaimana diatur dalam Pasal 11 ayat
(1) Peraturan Pemerintah Nomor 42 Tahun 2007 tentang Waralaba yang berbunyi:
“Pasal 11
- Penerima Waralaba wajib mendaftarkan perjanjian
Waralaba”.
Apabila prospektus penawaran waralaba dan
perjanjian waralaba telah memenuhi persyaratan untuk didaftarkan, maka
selanjutnya Menteri Perdagangan akan menerbitkan Surat Tanda Pendaftaran
Waralaba (STPW) sebagaimana diatur dalam Pasal 12 ayat (4), ayat (5), dan ayat
(6) Peraturan Pemerintah Nomor 42 Tahun 2007 tentang Waralaba yang berbunyi:
“Pasal 12
- Menteri menerbitkan Surat Tanda Pendaftaran
Waralaba apabila permohonan pendaftaran Waralaba telah memenuhi persyaratan
sebagaimana dimaksud pada ayat (1) dan ayat (2).
- Surat Tanda Pendaftaran Waralaba sebagaimana
dimaksud pada ayat (4) berlaku untuk jangka waktu 5 (lima) tahun.
- Dalam hal perjanjian Waralaba belum berakhir, Surat
Tanda Pendaftaran Waralaba dapat diperpanjang untuk jangka waktu 5 (lima) tahun”.
Selanjutnya adapun sanksi yang diatur dalam
kegiatan waralaba sendiri salah satunya diatur dalam Pasal 16 Peraturan
Pemerintah Nomor 42 Tahun 2007 tentang Waralaba yang mengatur sebagai berikut:
“Pasal 16
- Menteri, Gubernur, Bupati/Walikota sesuai
kewenangannya masing-masing dapat mengenakan sanksi administratif bagi Pemberi
Waralaba dan Penerima Waralaba yang melanggar ketentuan sebagaimana dimaksud
dalam Pasal 8, Pasal 10, dan/atau Pasal 11.
- Sanksi sebagaimana dimaksud pada ayat (1) dapat
berupa:peringatan tertulis;denda; dan/ataupencabutan Surat Tanda Pendaftaran Waralaba”.

At present, the
development of the world economy is growing rapidly and complex. Business
development is increasingly facilitated by the form of business cooperation and
technological sophistication in its implementation. The development of the form
of business cooperation gave birth to a new business concept that increasingly
provides convenience in conducting business transactions, one of which is a
franchise business.
Franchise
business agreements are included in unnamed agreements (innominaat), namely
agreements that arise, grow, live, and develop in the practice of community
life.agreements (innominaat) are agreements that have not been specifically
regulated. The birth of the agreement in practice is based on the principle of
freedom of contract or freedom to enter into an agreement. The development of
this form of business cooperation opens the way for the creation of new
facilities and forms of business, including a franchise business, or in a
foreign language also known as a franchise system or franchise that does not
require direct investment, but involves cooperation with other parties.
Another
formulation says that a franchising is an agreement in which the franchisee
sells products or services in accordance with the ways and procedures
established by the franchisor who assists through advertising, promotions, and
other advisory services.
The definition
of franchise itself has actually been regulated in Article 1 number 1 of
Government Regulation Number 42 of 2007 concerning Franchising, which states:
“Article 1
- franchising is
a special right owned by an individual or business entity to a business system
with business characteristics in the context of marketing goods and/or services
that have been proven successful and can be utilized and/or used by other
parties based on the franchise agreement”.
Furthermore, the Regulation of the Minister of Trade Number 71 of 2019 concerning the Implementation of Franchising has also provided an understanding of who the parties involved in this business are. This understanding is contained in Article 1 points 3-6 which states:
“Article 1
3. Franchisor is an individual or business entity
that grants the right to utilize and/or use its Franchise to the Franchisee.
4. Franchisee is an individual or business
entity that is granted the right by the Franchisor to utilize and/or use the
Franchise owned by the Franchisor.
5. Continuing Franchisor is a Franchisee who is
given the right by the Franchisor to appoint a Continuing Franchisor.
6. Continuing Franchisee is an individual or business
entity that receives rights from the Continuing Franchisor to utilize and/or
use the Franchise”.
Franchising is
a method of marketing and business expansion. A business expands the market and
distribution of its products and services by sharing marketing and operational
standards. A franchisor who purchases a business that benefits from customer
awareness of the trade name, proven systems and other services provided by the
franchisor.
If viewed from the aspect of the elements, it can be found that there are 4 elements in the franchise, namely as follows:
- Granting the right to do business in certain businesses;
- A license to use a business identification mark, usually a trademark or service mark, which will identify the franchise business (franchise);
- License to use extensive marketing plans and assistance by the franchisor to franchisees; and
- Payment by the franchisee to the franchisor form of something of value to the franchisor other than the bona fide for the goods sold.
The
legal basis that regulates franchise criterias itself is contained in Article 3
of Government Regulation Number 42 of 2007 concerning Franchising which states:
“Article
3
Franchising must meet the following criterias:
a.Has business characteristics;
b.Proven to be profitable;
c.Has written standards for services and goods and/or services offered;
d.Easy to conduct and apply;
e.There is ongoing support; and
f.Registered intellectual property”.
The birth of an agreement can basically be seen in Article 1320 of the Civil Code, which in this case contains a principle of consensuality, which is a principle which states that the agreement existed since an agreement was made between the parties. The agreement made is binding and applies as the law of the parties who made it which in this case is between the franchisor and the franchisee. In other words, the franchise is valid since there is an agreement from the parties regarding the main matters, even though it has not been or has not been followed by a formal act.
The provisions regarding the franchise agreement itself are regulated in Article 4 paragraph (1) and paragraph (2) of Government Regulation Number 42 of 2007 concerning Franchising which states:
“Article 4
(1)Franchising is carried out based on a written agreement between the Franchisor and the Franchisee with due observance of Indonesian law.
(2)In the event that the agreement as referred to in paragraph (1) is written in a foreign language, the agreement must be translated into Indonesian.”
Usually in a
franchise agreement, a preliminary action is held in the form of negotiations
between the parties. In this agreement, the franchisee asks the franchisor to
be able to open a franchise under the franchisor’s brand in a certain area.
After the request is responded to, a survey is conducted to the location where
the company will operate to find out the requirements for opening the company,
especially in terms of marketing or building standards. In addition to going
through the negotiation and site survey stages, there is also a stage to study
the contents of the agreement format intended for franchisees.
Based on attachment II to the Regulation of the Minister of Trade Number 71 of 2019 concerning the Implementation of Franchising, the material or clauses of the franchise agreement must at least contain:
- Name and address of the parties, namely the name and clear address of the owner/responsible person of the company entering into the franchise agreement, namely the franchisor or continued franchisor and franchisee or continued franchisee.
- Types of intellectual property rights, namely the types of intellectual property rights of the franchisor, such as company brands and logos, design of outlets/business places, management or marketing systems or franchised cooking spices.
- Business activities, namely agreed business activities such as retail/retail trading, education, restaurants, pharmacies, or workshops.
- The rights and obligations of the franchisor or continued franchisor and franchisee or continued franchisee, namely the rights and obligations include:
a. The franchisor or continued franchisor:
1)The right to receive fees or royalties from the franchisee or continued franchisee; and
2)The obligation to provide continuous guidance to franchisees and franchisees
b. Franchisee or continued franchisee:
1)The right to use intellectual property rights or business characteristics owned by the franchisor; and
2)The obligation to maintain the code of ethics/confidentiality of intellectual property rights or business characteristics given by the franchisor.
5.Assistance, facilities, operational guidance, training, and marketing provided by the franchisor or advanced franchisor to the franchisee or advanced franchisee, such as facility assistance in the form of providing and maintaining computers and IT programs for managing business activities.
6.Business area, which is the area limit given by the franchisor or continued franchisor to the franchisee or continued franchisee to develop a franchise business such as the Sumatra, Java and Bali areas or throughout Indonesia.
7.The term of the franchise agreement, namely the start and end of the franchise agreement as of the agreement letter is signed by the franchisor with the franchisee or the continuing franchisor with the continued franchisee.
8.The procedure for payment of fees, namely the procedures or provisions, including the time and method of calculating the amount of compensation, such as fees or royalties if agreed upon in the franchise agreement which is the responsibility of the franchisee or continued franchisee.
9.Ownership, change of ownership, and rights of heirs, namely ownership of the franchise and transfer of franchise if there is a change of ownership due to the transfer of ownership of the franchise or the death of the franchise owner.
10.Dispute resolution, namely the establishment of a dispute resolution forum, using Indonesian law options.
11.The procedure for extending and terminating a franchise agreement, such as terminating a franchise agreement cannot be done unilaterally or the franchise agreement ends automatically if the period specified in the franchise agreement ends. The franchise agreement can be extended again if desired by both parties with the provisions stipulated together.
12.Guarantee from the franchisor or continuing franchisor to continue to carry out their obligations to the franchisee or continued franchisee in accordance with the contents of the franchise agreement until the term of the franchise agreement ends.
13.Number of outlets/business places that will be managed by the franchisee or continued franchisee within the period of the franchise agreement.
After agreed to
the contents of the agreement, the franchisee and the franchisor must fulfill
the rights and obligations of each party. In this case, the obligations of the
hotel franchisor include training programs, engineering services, food &
beverage services, and help to market the product to gain profit. Meanwhile,
the obligations of the hotel franchisee are to qualify for products, service standards,
and management standards which are the same as the hotel owned by the
franchisor, and to pay fees which include sales, marketing, hotel distribution,
and other services as mutually agreed. The rights of the hotel franchisor are
to receive fees which include hotel sales, marketing, and distribution services
as mutually agreed upon, as well as supervising the implementation of the
franchise. Meanwhile, the rights of the hotel franchisee are to obtain
information regarding the franchise business and to use the hotel franchisor’s
name, trademark, and logo.
Meanwhile, the legal basis governing the obligations of the franchisor itself is regulated in Article 7 paragraph (1) paragraph (2) and Article 8 of Government Regulation Number 42 of 2007 concerning Franchising which states:
“Article 7
(1) The franchisor shall provide the Franchise offer prospectus to the prospective Franchisee at the time of making the offer.
(2) The Franchise offer prospectus as referred to in paragraph (1) shall contain at least:
a.Data on the identity of the franchisor;
b.The legality of the franchisor’s business;
c.History of its business activities;
d.The franchisor’s organizational structure;
e.Financial statements for the last 2 (two) years;
f.Number of places of business;
g.List of franchisees; and
h.the rights and obligations of the franchisor and franchisee”.
“Article
8
Franchisors are obligated to provide continuous guidance in the form of training, management operational guidance, marketing, research, and development to Franchisees”.
Furthermore,
the franchisor is also required to register the prospectus as regulated in
Article 10 paragraph (1) of Government Regulation Number 42 of 2007 concerning
Franchising which states:
“Article
10
- Franchisors are
required to register the Franchise offering prospectus before making a
Franchise agreement with the Franchisee”.
After the
franchise agreement is made and agreed upon by both parties, the franchisee
must register the agreed franchise agreement as stipulated in Article 11
paragraph (1) of Government Regulation Number 42 of 2007 concerning Franchising
which states:
“Article
11
- The Franchisee
is obliged to register a Franchise agreement”.
If the
franchise offer prospectus and franchise agreement meet the requirements for
registration, then the Minister of Trade will then issue a Franchise
Registration Certificate as stipulated in Article 12 paragraph (4), paragraph
(5), and paragraph (6) of Government Regulation Number 42 of 2007 concerning
Franchise which statess:
“Article
12
- The Minister
issues a Franchise Registration Certificate if the application for Franchise
registration has met the requirements as referred to in paragraph (1) and
paragraph (2).
- The Franchise
Registration Certificate as referred to in paragraph (4) is valid for a period
of 5 (five) years.
- In the event
that the Franchise agreement has not expired, the Franchise Registration
Certificate may be extended for a period of 5 (five) years”.
Furthermore, the
sanctions against unlawful franchise activity are regulated in Article 16 of
Government Regulation Number 42 of 2007 concerning Franchising which states::
“Article
16
- The Minister,
Governor, Regent/Mayor in accordance with their respective authorities may
impose administrative sanctions for Franchisor and Franchisee who violate the
provisions as referred to in Article 8, Article 10, and/or Article 11.
- The sanctions
as referred to in paragraph (1) may be in the form of:
- written
warning;
- revocation of
Franchise Registration Certificate”.
